These Terms of Service ("Terms") govern your access to and use of all products, services, and properties operated by Apex AI Systems ("we," "our," or "us"), including our demo system, AI audit tool, operating system, AXON AI, memory system, and any other Apex AI Systems product or service (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By accessing any Apex AI Systems product or service, submitting information through our audit or demo system, or clicking any consent button, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using our Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Services

Apex AI Systems provides AI-powered business tools, including an AI readiness audit system, live AI demo platform, business operating system, and related AI automation services. Our Services are designed for business owners and professionals seeking to evaluate and implement AI solutions in their operations.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By using our Services, you represent that you meet these requirements. Our Services are intended for business use and are not directed at consumers for personal, family, or household purposes.

4. User Responsibilities and Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Provide false, inaccurate, or misleading information when using our Services
• Attempt to gain unauthorized access to any part of our systems or infrastructure
• Scrape, crawl, or extract data from our Services using automated means
• Reverse engineer, decompile, or attempt to extract source code from our products
• Use our Services to develop competing products or services
• Transmit viruses, malware, or any other harmful code
• Violate any applicable law, regulation, or third-party rights
• Interfere with or disrupt the integrity or performance of our Services

5. Intellectual Property

All content, features, functionality, AI models, generated outputs, system designs, branding, and technology comprising our Services are owned by Apex AI Systems and protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any part of our Services without our express written permission.

AI-generated audit outputs and demo results are produced using our proprietary systems and remain the intellectual property of Apex AI Systems. You may use these outputs for your internal business evaluation purposes only.

6. User-Provided Information

By submitting information through our Services, you grant Apex AI Systems a non-exclusive, worldwide, royalty-free license to use, process, and analyze that information for the purpose of providing and improving our Services. You represent that you have the right to provide such information and that it does not violate any third-party rights.

7. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We expressly disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated audit results, recommendations, and demo outputs are provided for informational purposes only. They do not constitute business, legal, financial, or professional advice. We make no guarantees regarding the accuracy, completeness, or applicability of AI-generated content to your specific business situation. Business decisions made based on our outputs are made at your sole discretion and risk.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Apex AI Systems and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of our Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from your use of our Services shall not exceed the greater of (a) the amount you paid to Apex AI Systems in the twelve months preceding the claim, or (b) one hundred dollars ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Apex AI Systems and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We reserve the right to suspend or terminate your access to our Services at any time, for any reason, including but not limited to violation of these Terms, fraudulent activity, or abuse of our systems. Upon termination, your right to use our Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.

11. Third-Party Services

Our Services may integrate with or rely upon third-party services including Anthropic, Google, Supabase, Cloudflare, and others. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

12. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this document. Your continued use of our Services after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apex AI Systems regarding your use of our Services and supersede any prior agreements or understandings.
